Terms and Conditions — Relay Partner App

Relay operates a consumer mobile application through which users can connect with each other to plan activities and, upon mutual match, book venues listed on the platform. The Partner App enables venue owners/managers to list their venues, manage availability and pricing, accept or decline bookings, and receive payouts.

To register as a Partner, you must:

• Be at least 18 years of age and legally capable of entering into a binding contract under the Indian Contract Act, 1872;
• Be the owner of the venue, or an authorised representative with legal authority to list and manage the venue on Relay;
• Possess all licenses, permits, and registrations required to lawfully operate the venue and the underlying business (including, where applicable, GST registration, trade license, and sport/activity-specific certifications);
• Provide accurate, current, and complete information during onboarding and KYC verification.

Relay reserves the right to verify your credentials and to reject, suspend, or terminate any registration that does not meet these criteria.

• You are responsible for maintaining the confidentiality of your login credentials (mobile number/OTP, password) and for all activities conducted through your account.
• You must notify us immediately at [email protected] of any unauthorised access or use of your account.
• Relay is not liable for any loss arising from your failure to safeguard your account credentials.

• You are solely responsible for the accuracy of information submitted for your venue listing, including address, photographs, pricing, availability, amenities, and cancellation policies.
• Listings must not be misleading, fraudulent, or in violation of applicable law.
• Relay reserves the right to review, edit, suspend, or remove any listing that violates these Terms, applicable law, or Relay’s content guidelines, at its sole discretion, with or without notice.
• You grant Relay a non-exclusive, worldwide, royalty-free license to use, reproduce, and display venue photographs, descriptions, and related content for the purpose of operating and promoting the Relay platform.

• Bookings made by Relay users through the platform are confirmed based on the availability and pricing you set in the Partner App.
• You agree to honour all confirmed bookings unless cancelled in accordance with your stated cancellation policy or due to circumstances beyond reasonable control (force majeure).
• Repeated unjustified cancellations by a Partner may result in penalties, reduced visibility, suspension, or termination of the Partner account, at Relay’s discretion.
• Refunds to users for eligible cancellations will be processed as per the cancellation policy displayed at the time of booking, and corresponding adjustments will be made to your payout.

• Relay may charge a commission or platform fee on bookings made through the app, as communicated to you at the time of onboarding or as updated from time to time with reasonable notice.
• Payouts will be made to the bank account/UPI ID provided by you during KYC, on the payout cycle communicated in the Partner App (e.g., weekly/bi-weekly), subject to successful completion of the booking and any applicable holding period for cancellations/disputes.
• You are solely responsible for the accuracy of the banking details provided. Relay is not liable for payout delays or failures caused by incorrect information provided by you.
• You are responsible for complying with all applicable tax obligations, including GST and income tax, in relation to income earned through the platform. Relay may deduct TDS or other statutory deductions where legally required.

You agree that you shall:

• Maintain the venue in a safe, hygienic, and operational condition consistent with the listing;
• Not discriminate against any user on the basis of religion, caste, gender, disability, or any other protected characteristic;
• Not request or accept payment from users outside the Relay platform for bookings made through Relay, except where explicitly permitted;
• Not use the Partner App for any unlawful, fraudulent, or abusive purpose;
• Comply with all applicable laws, including local municipal regulations, safety codes, and licensing requirements applicable to your venue/activity.

You shall not:

• Circumvent, disable, or interfere with security-related features of the Partner App;
• Upload false, defamatory, obscene, or infringing content;
• Use bots, scripts, or automated means to access the Partner App other than through provided APIs (if any);
• Misrepresent your identity, venue ownership, or authorisation;
• Attempt to reverse-engineer, decompile, or extract source code from the Partner App.

All intellectual property in the Partner App, including trademarks, logos, software, and content (excluding venue-specific content you upload), is owned by Relay or its licensors. Nothing in these Terms grants you any right to use Relay’s trademarks or branding without prior written consent.

The Partner App may use third-party services (e.g., payment gateways, cloud hosting, analytics, maps). Your use of such services may be subject to the respective third party’s terms, and Relay is not responsible for the acts or omissions of such third parties.

• Relay may suspend or terminate your Partner account, with or without notice, for breach of these Terms, fraudulent activity, repeated user complaints, regulatory non-compliance, or at its reasonable discretion to protect the integrity of the platform.
• You may deactivate your Partner account at any time by contacting [email protected], subject to settlement of pending bookings and payouts.
• Upon termination, your right to use the Partner App ceases immediately; provisions relating to fees owed, indemnification, limitation of liability, and dispute resolution shall survive termination.

• The Partner App is provided on an “as is” and “as available” basis. Relay does not guarantee uninterrupted or error-free operation of the app.
• Relay acts solely as a technology platform connecting Partners with users and is not a party to the underlying agreement for use of the venue between the Partner and the user. Relay does not guarantee bookings, revenue, or footfall.
• Relay is not responsible for the quality, safety, legality, or condition of any venue listed by a Partner.

To the maximum extent permitted by applicable law, Relay, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Partner App. Relay’s aggregate liability for any claim arising under these Terms shall not exceed the total commission earned by Relay from your account in the [three (3) months] preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Relay, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of: (a) your breach of these Terms; (b) inaccurate venue information provided by you; (c) any dispute between you and a Relay user; or (d) your violation of any applicable law or third-party rights.

Relay reserves the right to modify these Terms at any time. Material changes will be communicated via the Partner App or email, and continued use of the app after such changes constitutes your acceptance of the revised Terms.

• These Terms shall be governed by and construed in accordance with the laws of India.
• Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably. Failing amicable resolution within 30 days, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, seated in Noida, Uttar Pradesh, conducted in English, by a sole arbitrator appointed by Relay.
• Subject to the above, the courts at Gautam Buddh Nagar, Uttar Pradesh shall have exclusive jurisdiction.

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Relay regarding the Partner App.
• Severability: If any provision of these Terms is held invalid, the remaining provisions shall continue in full force.
• No Waiver: Failure by Relay to enforce any right under these Terms shall not constitute a waiver of that right.
• Assignment: You may not assign or transfer your rights under these Terms without Relay’s prior written consent. Relay may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Notices: Notices to Relay should be sent to [email protected]. Notices to you will be sent to the email/mobile number registered on your Partner account.
